    1. Acceptance of Terms

    Welcome to PostAnywhere. By accessing or using our social media posting platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

    These Terms constitute a legally binding agreement between you and PostSocial, LLC ("PostAnywhere," "we," "our," or "us").

    By using our Service, you also agree to comply with the terms of service and community guidelines of each social media platform you connect, including but not limited to Meta (Facebook and Instagram), Google (YouTube), TikTok, LinkedIn, and X.

    2. Description of Service

    PostAnywhere provides a platform that enables users to create and publish content simultaneously across multiple social media platforms, including Instagram, Facebook, YouTube, TikTok, LinkedIn, and X. Our Service includes:

    • •Multi-platform content posting via official APIs
    • •AI-powered caption generation
    • •Media upload and management
    • •Post scheduling (on eligible plans)
    • •Connected account management via OAuth
    • •Analytics dashboard to track your posting activity and engagement metrics

    Important: PostAnywhere is a third-party service that uses official APIs provided by social media platforms. We are not affiliated with, endorsed by, or sponsored by Meta, Google, TikTok, LinkedIn, or X. Platform availability and features may change based on third-party API policies.

    3. Account Registration

    To use PostAnywhere, you must create an account. You agree to:

    • •Provide accurate and complete registration information
    • •Maintain the security of your account credentials
    • •Promptly update your information if it changes
    • •Accept responsibility for all activities under your account
    • •Notify us immediately of any unauthorized access
    • •Not share your account credentials with others

    Age Requirement: You must be at least 16 years old to create an account and use PostAnywhere. This age limit complies with the EU General Data Protection Regulation (GDPR) and represents the strictest global standard for social media usage. By registering, you represent and warrant that you are at least 16 years of age and meet any additional age requirements imposed by the social media platforms you connect.

    4. Connected Social Media Accounts & Platform Compliance

    4.1 OAuth Authorization

    To use PostAnywhere's posting features, you must connect your social media accounts through OAuth authentication. By connecting accounts, you:

    • •Authorize PostAnywhere to access and post content on your behalf using platform APIs
    • •Confirm you have the authority to connect and use those accounts
    • •Agree to comply with each platform's terms of service and community guidelines
    • •Accept that PostAnywhere is not responsible for changes to third-party platform APIs or policies
    • •Understand you can revoke access at any time through each platform's settings

    4.2 Platform-Specific Terms

    When using PostAnywhere with connected platforms, you agree to comply with the following:

    Meta (Instagram & Facebook)

    Google (YouTube)

    TikTok

    LinkedIn

    X (formerly Twitter)

    • • Comply with X Terms of Service
    • • Follow X Rules
    • • Not engage in platform manipulation or spam
    • • Comply with X's automation and API rules

    4.3 Violation Consequences

    If you violate any platform's terms of service through our Service, you may face: suspension or termination of your PostAnywhere account, loss of access to platform APIs, suspension or termination of your social media accounts by those platforms, and/or legal action. PostAnywhere is not liable for any consequences arising from your violation of third-party platform terms.

    5. User Content

    5.1 Your Content

    You retain ownership of all content (images, videos, text, and other materials) you upload to PostAnywhere. By uploading content, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service.

    5.2 Content Responsibility

    You are solely responsible for ensuring your content:

    • •Does not infringe on any third-party intellectual property rights
    • •Does not violate any applicable laws or regulations
    • •Complies with the terms of service and community guidelines of each connected platform
    • •Does not contain illegal, harmful, or offensive material
    • •Is appropriate for publication on all platforms you've selected

    5.3 Prohibited Content

    You may not post content that:

    • •Is illegal, fraudulent, or deceptive
    • •Infringes copyrights, trademarks, or other intellectual property
    • •Contains hate speech, harassment, or threats
    • •Includes explicit sexual content or exploits minors
    • •Promotes violence or illegal activities
    • •Contains malware, spam, or phishing attempts
    • •Violates any platform's community guidelines

    6. AI-Generated Captions

    PostAnywhere offers AI-powered caption generation. You acknowledge that:

    • •AI-generated captions are suggestions and may require editing before use
    • •You are solely responsible for reviewing and approving all content before posting
    • •AI outputs may occasionally be inaccurate, inappropriate, or not suitable for all platforms
    • •We do not guarantee that AI captions will achieve specific engagement results

    7. Subscription and Payments

    7.1 Pricing Plans

    PostAnywhere offers various subscription plans with different features and post limits. Current pricing and features are available on our website. We reserve the right to modify pricing with 30 days' notice.

    7.2 Billing

    Paid subscriptions are billed monthly or yearly in advance. By subscribing, you authorize us to charge your payment method automatically each billing cycle until you cancel.

    7.3 Failed Payments & Grace Period

    If your payment method fails, we will:

    • •Automatically retry your payment up to 8 times over a 14-day grace period
    • •Keep your subscription fully active during this grace period
    • •Send you email reminders during the last 3 days before cancellation
    • •Cancel your subscription and move you to the free Starter plan if all retries fail
    • •Preserve any unused credits—they remain in your account and never expire

    You can update your payment method at any time in your Profile Settings. Once your payment is successfully processed, your subscription will be automatically restored to active status.

    7.4 Cancellation and Refunds

    You may cancel your subscription at any time through your account settings. Upon cancellation:

    • •Your subscription remains active until the end of the current billing period
    • •You will not be charged for subsequent periods
    • •No prorated refunds are provided for partial months

    8. Intellectual Property

    The PostAnywhere platform, including its design, code, features, and branding, is owned by PostSocial, LLC and protected by intellectual property laws. You may not:

    • •Copy, modify, or distribute our platform or its components
    • •Reverse engineer or attempt to extract our source code
    • •Use our trademarks without written permission
    • •Create derivative works based on our Service

    All platform logos, trademarks, and brand features of Meta, Google, TikTok, LinkedIn, and X are the property of their respective owners and are used in accordance with their brand guidelines.

    9. Acceptable Use

    You agree not to:

    • •Use the Service for any illegal purpose
    • •Attempt to gain unauthorized access to our systems or other users' accounts
    • •Interfere with or disrupt the Service or servers
    • •Use automated means to access the Service except as permitted
    • •Circumvent rate limits or other technical restrictions
    • •Impersonate others or misrepresent your affiliation
    • •Use the Service to manipulate or artificially inflate engagement on any platform
    • •Exceed API rate limits or quotas set by connected platforms

    10. Privacy

    Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information, including platform-specific data handling for each connected social media account.

    By using our Service, you also acknowledge that each connected platform has its own privacy policy:

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSTANYWHERE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

    OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    Third-Party Platform Disclaimer: We are not responsible for changes to third-party platform APIs, policies, or availability. If a platform modifies, restricts, or terminates their API access, we cannot guarantee continued functionality for that platform.

    12. Indemnification

    You agree to indemnify and hold harmless PostAnywhere and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including platform terms of service; or (d) any content you post through the Service.

    13. Termination

    We may suspend or terminate your account and access to the Service at any time, with or without cause, including for violation of these Terms, violation of third-party platform terms, or if required by any platform provider.

    Upon termination:

    • •Your right to use the Service immediately ceases
    • •We will delete your data according to our Privacy Policy
    • •Connected platform tokens will be revoked
    • •Any remaining subscription period is forfeited (unless terminated by us without cause)

    14. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.

    For EU/EEA Users: If you are a consumer residing in the European Economic Area, you may also be entitled to invoke the mandatory consumer protection laws of your country of residence, and/or to bring legal proceedings in the courts of that country. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

    15. Changes to Terms

    We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we will also send email notification to registered users. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
